The scenario looks fine as you've described it. I would only substitute "imaging" rather that cloning if it's me doing it.

I agree that I would be less focused on the d:\ partition as it contains an OS you're not likely to use. Again, drive imaging might be the better way to salvage it, but it doesn't sound like it's an urgent thing given it's age and you're no longer really using Vista.
